LIMITED WARRANTY

Sealum Industries Ltd. (“Sealum”) warrants that its products shall conform to applicable specifications with respect to dimensional accuracy and shall be free from defects in workmanship. This warranty expressly excludes any defects in materials and does not constitute, nor shall it be construed as, a warranty of fitness for a particular purpose.

The products are intended solely for use by qualified technical personnel possessing the requisite skill, knowledge, and experience for their specific applications. The purchaser assumes all responsibility for determining the suitability of the products for any intended use.

Sealum’s sole and exclusive liability under this warranty shall be limited to the repair or replacement, at Sealum’s option, of any defective product or part thereof, provided that such product is returned by the original purchaser, freight prepaid, to Sealum’s facility within thirty (30) days from the date of purchase.

To the fullest extent permitted by law, Sealum shall not be liable for any damages or losses of any kind, whether direct, indirect, incidental, special, or consequential, including, without limitation, loss of use, loss of production, or loss of profits.

All catalog dimensions and specifications are provided for reference purposes only and are subject to change without notice as part of ongoing product development and engineering improvements. Sealum assumes no responsibility or liability for any damage, injury, or for the safe or satisfactory operation of any equipment, system, or application designed or constructed based upon information contained in its catalog or related materials.

This warranty is provided in lieu of all other warranties, representations, or conditions, whether express or implied, statutory or otherwise, including any implied warranties or conditions of merchantable quality or fitness for a particular purpose, all of which are hereby disclaimed.

The purchase, installation, or use of any Sealum product shall constitute the purchaser’s full acceptance of the terms and conditions set forth herein.

RETURNED GOODS POLICY

No goods shall be returned to Sealum Industries Ltd. (“Sealum”) without a valid Return Goods Authorization (“RGA”) number issued in advance by Sealum. Any shipment received without an authorized RGA number may be refused and returned to the sender at the sender’s expense.

Subject to prior authorization, returns of unused and standard stocking items may be accepted within twelve (12) months from the original date of purchase, provided that such goods are returned by the original purchaser, freight prepaid, in their original condition and packaging. All approved returns shall be subject to a restocking charge of twenty percent (20%) of the original purchase price.

Hydraulic cylinders, custom-manufactured, modified, or special-order items are non-cancellable and non-returnable. Orders for such items may not be cancelled once production has commenced. In the event that Sealum, in its sole discretion, agrees to a cancellation after production has commenced, such cancellation shall be subject to applicable cancellation charges, including but not limited to recovery of incurred costs, materials, and work in progress.

Sealum reserves the right to inspect all returned goods prior to issuing any credit or refund and to determine compliance with the terms of this policy. Acceptance of any return shall not be deemed a waiver of these conditions.

SHIPPING

All goods are shipped FOB Sealum Industries Ltd., Delta, British Columbia, Canada. Title to and risk of loss of the goods shall transfer to the purchaser upon delivery to the carrier at the point of shipment.

Upon request, Sealum Industries Ltd. (“Sealum”) may arrange shipment on behalf of the purchaser, provided that the purchaser supplies complete and accurate shipping instructions at the time of order, including, without limitation: (i) preferred carrier, (ii) applicable courier account number, and (iii) required level of shipping service.

Sealum shall not be responsible for any delays, losses, or damages occurring in transit where shipment is arranged by or on behalf of the purchaser. Any shipping dates provided are estimates only and shall not be binding.

Failure to provide the required shipping information at the time of order may result in processing or delivery delays, for which Sealum shall bear no liability.

DELIVERY

Delivery timelines may vary depending on production capacity, order volume, and the inclusion of any special features requiring additional engineering or manufacturing time.

Any delivery dates provided by Sealum Industries Ltd. (“Sealum”) are estimates only and shall not be construed as fixed or guaranteed. The confirmed delivery schedule, if applicable, will be communicated to the purchaser at the time of order acceptance.

Sealum shall not be liable for any delays in delivery or for any damages, losses, or costs arising therefrom.

PAYMENT TERMS

Unless otherwise agreed in writing, payment terms are net thirty (30) days from the date of invoice on approved credit only. All amounts are payable in Canadian funds within Canada and US funds outside of Canada.

Sealum Industries Ltd. (“Sealum”) reserves the right to require full or partial payment in advance, establish credit limits, or modify credit terms at its sole discretion based on the purchaser’s creditworthiness or payment history.

Overdue accounts shall be subject to interest charges at the rate of one and one-half percent (1.5%) per month (18% per annum), or the maximum rate permitted by applicable law, whichever is less, calculated and compounded monthly.

The purchaser shall be responsible for all costs of collection, including reasonable legal fees, incurred by Sealum in connection with the recovery of overdue amounts.

Sealum reserves the right to suspend or cancel any outstanding orders or deliveries in the event of non-payment or breach of credit terms.

Payment shall not be deemed complete until funds have been received and cleared by Sealum’s financial institution.
